 vb5 project upgrade causes vb.net exception

I upgraded my VB5 project using the upgrade wizard.  The upgrade went
fine.  The notes about compatibility are trivial.

After the upgrade when i launch the vbproj i get a message that says:

Title Bar:
Just in Time Debugging

Caption:
An Exception 'System.StackOverflowException' has occurred in DefaultDomain

List Box:
New Instance of Microsoft CLR De{*filter*}
New Instance of Microsoft Development Environment

Caption:
Do you want to debug using the selected de{*filter*}?

Buttons:
NO
YES

Debug, and take a look at the call stack and see what is going on.

 vb5 project upgrade causes vb.net exception
As recomanded by microsoft, first save the project in VB6, then upgrade...
They don't tell that for no reason :-)

Anyway, about marketing strategy, if you really want it all to work, you'll
need VB5, VB6 and VB.NET...

 vb5 project upgrade causes vb.net exception
I did that.  i saved the project in VB6 then upgaded in .NET. Same
error.  If i try to debug i get this error:

Unhandled exception of type 'System.StackOverflowException' occurred in
MSCorlib.dll.

Continue ? Yes, No.

Anymore ideas?
