Your specification is not complete. You will need to be much more
precise than that.
The use of the words 'records' and 'fields' tells me that you probably
want to read in the lines from the files into arrays, and then use one
of the FAQs in FAQ part 4:
# perldoc perlfaq4
How do I compute the difference of two arrays? How do I
compute the intersection of two arrays?
To read in the lines:
# perldoc -f open
# perldoc -f split
# perldoc -f close
