 Copyright question

I have a shareware program that I am selling and a potential buyer wants to
use it as a model for his own in-house system he is developing.  He is
suggesting that I shoiuld sell him a license to use my program,a nd also
give him permission to use the look, flow and funtionality of it in his own
system as well, for no extra charge.  He is in a US State Government
organisation.  Have others had dealing like this?  Any comments or
suggestions on how I can protect my interests and make the potential buyer
happy as well?  What are the potential pitfalls here?

These are very different things, using (and redistributing) a program, and
cloning it's behaviour and appearance. Remember the long struggles about
the GUI of GEM and other programs, that's a very hot thing!

To avoid an extra charge, simply total up all fees ;-)

An old rule of thumb says, that a good programmer writes 10 lines of
source code per hour, including design and debugging. This may give you an
idea about the value of your program. Based on this, and a good hourly
wage, you can offer your source code, with the license to use and modify
it. If you want to continue to develop that program, you can reduce the
price, and instead reserve you this right.

He has a right to buy and to use your program.  Beyond that, "I" feel
that you be intimately involved/employed/paid in anything that
involves essentially re-development of your program unless he is going
to use your program as NOTHING MORE THAN a model or an example.

You could offer to take what you have and modify it for him, but for a
price.  You worked hard I'm sure to get to the point where you are
with it - don't be too willing to "give" it away.
