He has a right to buy and to use your program. Beyond that, "I" feel
that you be intimately involved/employed/paid in anything that
involves essentially re-development of your program unless he is going
to use your program as NOTHING MORE THAN a model or an example.
You could offer to take what you have and modify it for him, but for a
price. You worked hard I'm sure to get to the point where you are
with it - don't be too willing to "give" it away.
