I currently use Office-97 and have written a lot of VBA code in excel,
access and word. If I upgrade from Office-97 to Office-XP, will I need
to change any of my code?

Hopefully, but when moving from one version to/from another, one needs to
test.
A common problem is that code, be it VBA, or other, oft will appear to
execute correctly even tho the code is not correct.
Then when moving the code to another version, the code produces unexpected
results.

There are no guarantees.

Code that you use to automate Office 97 applications should work fine with
Office XP applications.
